BACKGROUND
background
On March 6, 2025 the Guilford County Board of Commissioners approved the pre-audit contract with Presidio Network Solutions for DUO Multifactor Authentication software with pricing, terms and condition based on North Carolina Information Technology IT Contract 204X for five (5) years, beginning March 24, 2025 and ending March 23, 2030. Subsequently, Presidio Network Solutions requested changes to the pre-audit contract, including:
· A 1.5% late fee on undisputed invoices.
· Removal of excess cost language in the event of a breach.
· Termination without cause requires 90-day notice and the County must pay the Contractor's actual incurred costs if invoiced within 90 days; otherwise, those costs are waived.
· Force Majeure requires 5 days' notice to the County, allowing termination after 30 business days or procurement from another source.
· Assumption will be allowed by the County but requires 10 days’ notice if another entity needs to be paid.
· A Non-Solicitation of Employees, a Limitation of Liability statement, and Warrant/Warranty Disclaimer were added as additional Terms.
Contract changes were reviewed and agreed upon by IT, Purchasing and the County Attorney's office. Because the changes to the contract are substantive in nature, the contract is being re-presented to the Board to allow the finalized, negotiated contract to be re-reviewed and approved.
Multifactor Authentication is implemented to secure employee, contractor and vendor logins to reduce the risk that County Information Technology Systems and Infrastructure may be adversely impacted due to a compromised account.
